DARK IRON SOCIETY – MEMBERSHIP AGREEMENT

Release of Liability, Assumption of Risk, and Indemnity Agreement

In consideration of participating in training and the use of facilities at Dark Iron Society (“the Facility”), I represent that I understand the nature of physical training and fitness activities and that I am qualified, in good health, and in proper physical condition to participate. I acknowledge that if at any time I believe workouts, equipment, or conditions are unsafe, I will immediately stop participation.

I fully understand that participation in activities at Dark Iron Society involves risk of serious bodily injury, including permanent disability, paralysis, and death, which may result from my own actions or inactions, those of others, conditions of the Facility, or the use or misuse of equipment.

I voluntarily accept and assume all risks, losses, costs, and damages I may incur as a result of participation.

I hereby release, discharge, and agree not to sue Dark Iron Society, its owners, employees, volunteers, or affiliates from any liability, claims, demands, losses, or damages caused in whole or in part by my own negligence or otherwise, including negligent rescue operations. I further agree that if I or anyone acting on my behalf makes a claim against any party released herein, I will indemnify, defend, and hold harmless each of them from any loss, liability, damage, or cost, including legal fees.

For Minors

As the parent or legal guardian of the participating minor, I understand the nature of activities at Dark Iron Society and believe the minor to be qualified to participate. I release, discharge, indemnify, and hold harmless Dark Iron Society, its owners, employees, and volunteers from all liability, claims, demands, or damages on the minor’s account, whether arising from negligence or otherwise. I agree to defend Dark Iron Society from any such claims brought by or on behalf of the minor.

Terms and Conditions

Membership at Dark Iron Society requires full compliance with the following rules to ensure safety, order, and enjoyment for all members.

Eligibility

• Members must be at least 13 years old to train.

• Ages 13–15 require a parent or guardian physically present in the building.

• Ages 16+ may train independently with a valid driver’s license.

Private Facility Rights

Dark Iron Society is a private, members-only facility. Management reserves the right to refuse, suspend, or cancel memberships at any time. Members may be banned for conduct violations, unsafe behavior, harassment, theft, or any actions deemed detrimental to the Facility.

Agreement to Rules

By signing this agreement, members agree to all rules and policies. Management may update policies with advance notice. Continued use of the Facility constitutes acceptance of updated terms.

Access Control

• Entry is allowed only through the official Dark Iron Society door-access app with an active membership in good standing.

• Members with unpaid balances will have access suspended.

• Sharing access, login credentials, screenshots, or holding the door open for non-members is strictly prohibited.

• Each unauthorized entry results in a $25 violation fee per individual.

• Repeated violations may result in termination and full contract balance owed.

Liability & Insurance

Members are encouraged to carry personal insurance for injury, damage, or loss. Participation is strictly voluntary and at your own risk.

Reporting Issues

Accidents, unsafe conditions, or concerns must be reported during office hours or emailed to darkironsociety@gmail.com .

Breach of Rules

Any rule violation, unsafe behavior, harassment, illegal activity, theft, or attempt to bypass access control may result in:

• Immediate expulsion

• Permanent banning

• Termination of membership with full remaining contract balance due

Code of Conduct

Members must treat others and the facility with respect. The following may result in termination without refund and full contract balance owed:

• Harassment, inappropriate conduct, or unsafe actions

• Sharing or attempting to share door access

• Spitting, nicotine use, or excessive profanity

• Any racist or hateful language

• Dropping weights intentionally outside designated lifting areas

• Failure to re-rack weights or clean equipment

• Loitering, sleeping, or bringing unauthorized guests

Membership Terms, Commitment & Payments

Membership Length

All Basic memberships require a 12-month commitment .

Cancellation Policy

Members may cancel early only under the following terms:

1. Early Cancellation Fee
   A $150 cancellation fee must be paid in addition to any unpaid dues, including the final month.

2. 30-Day Written Notice Required

• Cancellations must be submitted via email or written notice via cancellation form.

• Billing continues during the 30-day notice period

3. Qualifying Exceptions

• Relocation more than 25 miles from the gym (proof required)

• Medical inability to train, with documentation from a licensed provider

4. Non-Qualifying Reasons
   Schedule changes, job changes, vacations, financial hardship, lack of motivation, or dissatisfaction do not waive the fee or notice period.

5. Chargebacks Do NOT Equal Cancellation
   Any disputed charge does not cancel the membership or pause billing.

Membership Pause Policy

Members may pause their membership under the following conditions:

• May pause one time per 12-month contract

• Maximum pause length: 3 consecutive months

• Must be requested at least 10 days before the next billing date

• Past-due accounts cannot be paused

• Pausing a membership extends the contract term by the length of the pause

Automatic Payments

• Monthly dues are charged to the card on file on or around the join date

• Failed payments incur a $20 late fee after 3 attempts.

• Access is suspended until balances are paid

• Late fees, violation fees, guest fees, and admin fees are charged automatically

Chargebacks & Disputes

• Filing a chargeback does not cancel the membership

• A $25 administrative fee is added to any chargeback filed without contacting the gym

• All dues remain owed during disputes

• Unresolved balances will be sent to collections, including recovery costs

Collections

Balances unpaid after 30 days may be transferred to collections.
Members waive the right to contest balances forwarded to collections.

No Refunds

Membership dues, fees, late fees, violation fees, and prepaid amounts are non-refundable under all circumstances , including suspension or termination for cause.

Guest Policy

• Guests must purchase a $10 day pass

• All guests must sign a waiver

• Unauthorized guests result in a $25 fee per person charged to the member

• Repeated violations may result in membership termination and full contract balance owed

• Guests attempting to sneak in unpaid individuals will be permanently banned

Lockers & Personal Belongings

• Lockers are day-use only

• Overnight items will be removed; locks may be cut

• Dark Iron Society is not responsible for lost or stolen items

Hours of Operation

Gym Access: 24/7 with valid membership
Staff Hours:

• Mon–Thurs: 8 AM–1 PM & 3 PM–7 PM

• Fri: 8 AM–1 PM & 3 PM–5:30 PM

• Sat: 8 AM–11:30 AM

• Sunday: Closed

Safety & Hygiene

Members must:

• Wipe down equipment

• Wear appropriate attire and shoes

• Use bathrooms & showers responsibly

• Refrain from leaving trash or personal items behind

• Immediately stop if dizzy, faint, or in pain

• Ask for help if unsure how to use equipment

Children must be accompanied by a guardian in restroom areas.

Social Media & Communication Terms

Member conduct rules extend to online interactions with Dark Iron Society pages.
Inappropriate online behavior may result in disciplinary action or membership termination.

• Injury

• Medical issues

• Equipment malfunction

• Interrupted training

• Financial loss

• Lost or stolen items

These terms are governed by Georgia law. If any part is invalidated, the remainder remains fully enforceable.

Content shared by Dark Iron Society, including fitness advice or programs, is offered "as-is" and without guarantees. We are not liable for damages or losses, including financial loss, interrupted training, or injury. These terms are governed by the laws of the state of Georgia. If any part of this agreement is deemed invalid, the remaining provisions shall remain in full effect.
